Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Parity platform and related services (collectively, the “Service”) operated by Onkura Inc d/b/a Parity (“Parity,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Parity is an operations execution layer. It lets you describe operational work in plain language, review exactly how Parity interpreted your description before anything runs, and execute structured flows (“flows”) that deliver auditable, structured results.
Parity executes work using three distinct paths, selected based on what each flow requires:
- Compiled execution — Work that can be encoded as deterministic logic is compiled once and executes without model inference on subsequent runs. Compiled outputs are designed to produce consistent results from identical inputs under the same execution environment.
- Governed probabilistic execution— Work requiring judgment or unstructured inputs routes through an AI model, subject to Parity’s governance layer, which enforces policy before any output reaches the workflow.
- Human-in-the-loop execution — Work explicitly requiring human review is routed to a structured human checkpoint before proceeding. Human decisions are part of the execution record.
Every execution — success or failure — produces a record designed to be tamper-evident, documenting what ran, what was decided, what the inputs were, and what the output was (“Evidence Record”).
2. Eligibility and Accounts
2.1 You must be at least 18 years old and capable of entering a binding contract to use the Service.
2.2 You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@parity.work if you suspect unauthorized access.
2.3 Each account is for a single user. Team or organizational access is governed by the workspace and org-level features described in the Service.
2.4 You must provide accurate information when creating your account and keep it current.
3. Plans, Limits, and Billing
3.1 Free plan. Free accounts receive a limited number of flow executions per period. Limits are shown in your account settings. We reserve the right to change free-tier limits with 30 days’ notice.
3.2 Paid plans. Paid subscriptions are billed in advance on a recurring basis (monthly or annually). Prices are listed at parity.work/pricing. All fees are non-refundable except as required by applicable law or as stated in a specific offer.
3.3 Upgrades / downgrades. Plan changes take effect at the start of the next billing cycle unless stated otherwise.
3.4 Failed payments. If a payment fails, we may suspend your access until the balance is resolved. We will attempt to notify you before suspension.
3.5 Taxes. You are responsible for any applicable taxes on your purchase.
4. Acceptable Use
You may not use the Service to:
- Violate any applicable law, regulation, or third-party right
- Process or store content that is illegal, harmful, threatening, abusive, defamatory, or obscene
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Probe, scan, or test the vulnerability of our systems without written authorization
- Circumvent usage limits, access controls, or authentication mechanisms
- Use the Service to train, fine-tune, or build competing AI models or services
- Scrape, crawl, or systematically extract data from the Service via automated means
- Impersonate another person or misrepresent your affiliation with any entity
- Transmit viruses, malware, or other harmful code
- Conduct, facilitate, or enable illegal surveillance or monitoring of other individuals
- Send unsolicited bulk communications or spam
- Use the Service if you are located in a country subject to US export sanctions or are otherwise prohibited from receiving US services under applicable law
We reserve the right to suspend or terminate accounts that violate these restrictions.
5. Your Content
5.1 Ownership. You retain ownership of any documents, data, prompts, or other content you submit to the Service (“Your Content”).
5.2 License to operate. By submitting Your Content, you grant Parity a limited, non-exclusive, worldwide license to process and transmit Your Content solely to provide the Service to you. Input documents uploaded for flow execution are processed transiently to provide the Service and are not intentionally retained after processing completes, except as may be necessary for temporary processing, security, debugging, backup, legal obligations, or as otherwise described in our Privacy Policy. Compiled flow specifications and Evidence Records — which are not designed to contain your original document content — are retained in accordance with our Privacy Policy. This license ends when your account is deleted.
5.3 Responsibility. You are solely responsible for Your Content — including that you have the rights to submit it and that it does not violate any law or third-party rights.
5.4 No training use. We do not use Your Content to train or improve our AI models. We instruct our model providers not to use customer content for model training where such controls are available and as provided under our agreements with those providers.
5.5 Workflow Library Contributions.Parity maintains a public library of compiled workflow specifications (the “Corpus”) that other users can discover and adapt. By default, we may analyze the structure of flows you create — meaning the field mappings, extraction logic, and configuration schema, not your document content, extracted data, or any information specific to your business — to identify patterns suitable for inclusion in the Corpus. If a flow structure is identified as a candidate, it undergoes an internal anonymization process that removes all company-specific and business-identifying configuration before any version is published to the Corpus. At no point is your document content, extracted data, or the results of any execution shared or reviewed as part of this process.
This program is enabled by default.You may opt out at any time via Settings > Account > Workflow Library Contributions. Opting out prevents your flow specifications from being reviewed for Corpus inclusion going forward; it does not remove any specifications already incorporated into the library.
6. Intellectual Property
6.1 Platform. All software, algorithms, designs, and content that make up the Parity platform (excluding Your Content) are the property of Parity or its licensors. Nothing in these Terms transfers any ownership of the platform to you.
6.2 Feedback. If you provide suggestions or feedback about the Service, you grant us a perpetual, royalty-free right to use that feedback without obligation to you.
6.3 Corpus derivatives. Compiled flow specifications you create remain Your Content as described in Section 5.1. Generalized, anonymized versions of flow structures incorporated into the Parity Corpus under Section 5.5 are derived works that become part of the Parity platform and are owned by Parity. Parity will not identify you, your organization, or any business-specific information as the source of any Corpus contribution.
7. Execution Paths and Output Accuracy
Parity executes flows using three distinct paths (as described in Section 1). The accuracy guarantees differ by path:
Compiled execution outputs are designed to produce consistent results from identical inputs under the same execution environment. The Evidence Record for each compiled execution documents the full input-to-output chain.
Governed probabilistic execution outputsare generated by AI models subject to Parity’s governance layer. These outputs:
- Are not guaranteed to be accurate, complete, or error-free
- Should be reviewed before being relied upon as the sole basis for legal, financial, medical, compliance, or other consequential decisions
- May reflect characteristics or limitations of the underlying models
Human-in-the-loop outputs incorporate a structured human decision recorded in the Evidence Record. Human reviewers are responsible for the accuracy of their decisions.
The Evidence Record for every execution — regardless of path — documents which execution path(s) were used, the inputs, any decisions made, and the output. You are responsible for reviewing and validating outputs before acting on them. The existence of an Evidence Record does not guarantee correctness; it guarantees traceability.
8. Third-Party Services
The Service integrates with or relies on third-party services (including cloud infrastructure, AI model providers, and analytics tools). Your use of any third-party services accessed through Parity is subject to those providers’ own terms and privacy policies. We are not responsible for the practices or content of third-party services.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARITY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PARITY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PARITY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to defend, indemnify, and hold harmless Parity and its affiliates, officers, and employees from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any third-party right.
12. Term and Termination
12.1 These Terms remain in effect while you have an account with us.
12.2 You may close your account at any time by contacting us at support@parity.work or using the account deletion feature in Settings. Closure does not entitle you to a refund of prepaid fees.
12.3 We may suspend or terminate your account if you violate these Terms, fail to pay, or for any other reason with reasonable notice (except for serious violations, where we may act immediately).
12.4 Sections 5, 6, 7, 9, 10, 11, 13, and 17 survive termination.
13. Governing Law and Disputes
13.1 Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
13.2 Arbitration and class action waiver. PLEASE READ THIS SECTION CAREFULLY. ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE — EXCEPT CLAIMS OF INTELLECTUAL PROPERTY INFRINGEMENT OR MISAPPROPRIATION, WHICH MAY BE BROUGHT IN COURT — WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION, RATHER THAN IN COURT. YOU AND PARITY EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU MAY OPT OUT OF THIS ARBITRATION PROVISION WITHIN 30 DAYS OF FIRST CREATING AN ACCOUNT BY SENDING WRITTEN NOTICE TO SUPPORT@PARITY.WORK.
13.3 Courts. For any claim not subject to arbitration, you consent to the exclusive jurisdiction of the state or federal courts located in Delaware.
14. Changes to These Terms
We may update these Terms at any time. We will post the revised Terms with an updated “Last Updated” date and, for material changes, notify you via email or an in-app notice at least 30 days before the change takes effect. Continued use after the effective date constitutes acceptance.
15. General
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Parity regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

If you are a Covered Entity or Business Associate under the Health Insurance Portability and Accountability Act (HIPAA), you may not process Protected Health Information (“PHI”) on the Platform without a signed Business Associate Agreement (“BAA”) with Parity. Customers are solely responsible for determining whether information they upload or process through the Service constitutes PHI and whether their use of the Service triggers the requirement for a BAA. Enterprise customers may request a BAA as part of their enterprise agreement. Contact us at support@parity.work to begin that process.
